These Terms & Conditions ("Terms") govern the registration, use and/or access of the Louis Limited website, platform, portal and/or mobile application (the "LL Platform"). These Terms constitute a legal agreement between LL Fintech Sdn Bhd ("we", "us", "our") and you. By registering for, enrolling in or using the LL Platform, you are deemed to have read, understood and agreed to be bound by these Terms, including any additional terms incorporated by reference and updated from time to time.

If you are under the age of 18, you may not use the LL Platform. If you do not agree with these Terms, you must immediately discontinue use of the LL Platform.

The LL Platform is a knowledge-sharing platform designed for users seeking mentorship and community engagement. It may integrate trading data for real-time analytics and AI-driven insights, performance tracking, interactive chat rooms, push notifications, third-party authentication and read-only trading analytics data.

Content and recommendations generated by AI or available on the LL Platform are solely for educational and informational purposes and do not constitute investment recommendations. Content may not always be unique or personalised. You are solely responsible for evaluating the merits and risks of any content before making decisions. Past performance is not indicative of future results. The LL Platform may not be available in some jurisdictions; use at your own risk and comply with applicable laws.

All content (including AI-generated outputs, blog posts, articles, videos and social media) is for informational and educational purposes only and does not constitute legal, financial, tax, investment or trading advice. Investments and trading carry inherent risk and market volatility, which may cause financial losses. Past performance does not guarantee future results.

LL Activity Disclaimer: Any LL Activity, including trade ideas, entries, exits, stop losses, take profits, market positioning or similar trade-related information are strictly for educational, informational and illustrative purposes only. Responsibility for Decisions: You are fully responsible for your financial, investment and tax decisions. Always seek advice from a qualified professional.

You agree to provide true, accurate, current and complete information and to keep it up-to-date. You must be 18 or older, have full power and authority to enter this agreement, not have been previously removed from the LL Platform, and be responsible for safeguarding your password and all activities under your Account. You must notify us immediately of any suspected unauthorised use.

You may not share your account, impersonate someone else, use unauthorised contact details, create multiple Accounts or transfer your Account without our prior written approval. We may close any Account using proxy IPs to hide multiple accounts or for any other reason we deem fit. A valid phone number and/or email address is required.

Our Intellectual Property: All copyrights, trademarks, patents, algorithms, systems, content and other intellectual property associated with the LL Platform are owned by us or our licensors. You may not copy, distribute, republish, modify, reverse-engineer or create derivative works without our prior written consent.

Your Content: You retain rights to User Material you Post, but grant us a non-exclusive, royalty-free, sublicensable right to use, reproduce, modify, publish, translate and distribute it worldwide. You represent that you own or control all rights to the User Material and that it is truthful and accurate. We may remove User Material at our discretion without notice.

Other Content: Content from other users belongs to them. We do not endorse, verify, or take responsibility for Other Content and you assume all risks of using it.

By using the LL Platform, you accept our Privacy Policy & Notice and agree the following are strictly prohibited: copying, redistributing or scraping content; reverse-engineering, bypassing security or rate limits; using the Platform for competitive products, illegal activities, harmful/defamatory/discriminatory content, spam, fraud, impersonation, infringement of third-party rights, malware distribution, hacking, unauthorised data collection, creation of false performance information, or circumventing fees.

You may not: use the Platform in a way that circumvents usage restrictions; sub-license, rent, sell or time-share access; or use the Platform/Documentation to develop competitive products or grant access to competitors. You may not frame the Platform, post over its pages, or link from inappropriate sites.

The LL Platform is provided on an "AS IS" basis. We disclaim all warranties of quality, performance, merchantability, fitness for a particular purpose or non-infringement. Access may be degraded or unavailable during high volatility or volume. We do not guarantee uninterrupted, error-free or secure service. Beta features may contain bugs. We are not liable for any losses from unavailability or delays.

Although we strive for accuracy, the LL Platform may contain inaccuracies or typographical errors. Information may be updated without notice. You should verify all information before relying on it. We are not responsible for third-party content or for confirming the identity of other users.

The LL Platform may offer leaderboards, rankings, performance comparisons and social profiles. Your participation is voluntary. You control visibility through privacy settings. Rankings and metrics are for informational purposes only and do not constitute investment advice or guarantees of future performance.

We may investigate, suspend, disqualify or recalculate rankings of any account suspected of manipulation, artificial inflation, collusion or other deceptive conduct. We may modify, suspend or discontinue Social Features at any time without notice.

You retain rights to your data and User Material, and grant us a non-exclusive, worldwide, royalty-free license to collect, use, copy, store, transmit, modify and create derivative works as necessary to provide the Services. We may generate aggregate or anonymous data, which we own and may use for any business purpose (disclosed only in de-identified form). Any Feedback you provide is granted to us under a perpetual, royalty-free, sublicensable license.

By using the LL Platform you consent to our collection, use, disclosure and retention of information as described in our Privacy Policy & Notice, which is incorporated into these Terms by reference. You represent that any information provided will remain accurate and complete.

All prices are displayed on the LL Platform and may change without notice. Subscriptions are billed monthly; by subscribing, you authorise recurring charges until cancellation. Cancellations take effect at the end of the current billing cycle with no refund for unused portions. Refunds, where applicable, are processed within fourteen (14) working days.

Purchases made via the Apple App Store or Google Play Store are additionally subject to Apple's Licensed Application End User License Agreement and Apple Media Services Terms, or the Google Play Terms of Service, as applicable.

You represent and warrant that: you are 18+ with capacity to contract; you are not prohibited from using the LL Platform; you will provide accurate information; you use the Platform on your own initiative and comply with applicable laws; you will not use it for money laundering or terrorist financing; you will use reasonable anti-virus and security measures; and these Terms constitute legally binding obligations on you.

You agree to indemnify and hold us (and our affiliates, partners, directors, officers, agents, shareholders and employees) harmless from all claims, damages, costs and expenses (on a full indemnity basis) arising from your use or misuse of the LL Platform, breach of these Terms, wilful or negligent conduct, violation of laws or third-party rights, breach of representations and warranties, or any other conduct that causes us loss.

We will not be liable for any direct, indirect, incidental or consequential damages (including loss of profits, data or goodwill) arising from use or inability to use the LL Platform. We expressly disclaim liability for: trading losses; content inaccuracies (AI or otherwise); outages; sync delays; API failures; market data inaccuracies; downtime; and third-party integrations.

In no event shall our aggregate liability exceed the amount paid by you (if any) in the one (1) month period preceding your claim.

We use commercially reasonable efforts to protect the LL Platform. The Internet is not 100% secure and we cannot guarantee absolute protection. You are responsible for keeping your devices, account credentials and 2FA codes safe. We will never ask for your passwords or 2FA codes. You must notify us promptly of any Security Breach and take steps we reasonably require to mitigate it.

We may suspend, disable or terminate your Account if we reasonably believe you have violated these Terms. You may terminate your Account at any time by contacting us. Upon termination, all licenses granted to you terminate, but obligations you incurred (including liabilities and fees) survive. We reserve the right to terminate accounts inactive for two (2) consecutive years.

You are responsible for maintaining the confidentiality of your account credentials and must not disclose any confidential information about us or our users, except as required by law (with prior notice to us where possible). This obligation survives termination of these Terms.

AI-generated outputs are based on publicly available information and are for informational purposes only. They may be inaccurate, incomplete or inconsistent. They do not constitute financial or investment advice, trading recommendations, solicitation to trade, or guarantees of profitability.

All third-party account integrations operate on a strictly read-only basis. We cannot and will not place trades, modify positions, transfer funds or exercise any control over your linked brokerage accounts. You remain solely responsible for all trading decisions and account management.

The LL Platform may contain links to third-party sites ("Linked Sites"). We do not control, endorse or adopt any Linked Sites and make no representations about their accuracy or completeness. Your use of Linked Sites is at your own risk and governed by their own terms and privacy policies. We may use a third-party credit card merchant to process payments and accept no liability for their acts or omissions.

Entire Agreement: These Terms supersede all prior understandings between you and us.

Waiver: Failure to enforce any provision is not a waiver of our rights.

Changes: We may modify these Terms at any time by posting an updated version on the LL Platform. Continued use constitutes acceptance.

Severability: Invalid provisions will be severed; the remainder of the Terms remains in effect.

No Partnership: No joint venture, partnership or agency relationship is created.

Force Majeure: We are not liable for breaches caused by events outside our reasonable control.

Assignment: You may not assign your rights without our consent; we may assign freely.

Governing Law & Jurisdiction: These Terms are governed by the laws of Malaysia, and the parties submit to the jurisdiction of the Courts of Malaysia (unless local laws of another jurisdiction take precedence).
